These terms cover the Koi Mac app, the Koi assistant and this website. By downloading or using Koi you agree to them. If you don't, please don't use it.
Who we are
Koi is made and sold by Spacerr LLC, a Wyoming limited liability company in the United States. "We" and "us" in these terms mean Spacerr LLC.
What Koi is
Koi is a Mac app you sign in to with an email address. Dictation and pages run entirely on your Mac. Talking with Koi, the app's AI assistant, is optional and runs through our server. It needs macOS 14 Sonoma or later, on an Apple silicon or Intel Mac, and an internet connection to sign in and to talk with Koi.
Your licence
We give you a personal, non-exclusive, non-transferable licence to install and use Koi on Macs you own or control, for private or commercial work. You may not resell it, redistribute it, or use it to build a competing service. The speech models it runs, Whisper by OpenAI in several sizes, come under their maker's own licence.
Your account
An account is an email address, signed in with a code we send to it or with Google. There is no password. Whoever controls that inbox or Google account controls the account, so keep it secure, and tell us if you think someone else has signed in as you.
What is yours stays yours
Everything you dictate, write, draw or store in Koi belongs to you. It lives on your Mac. What you give Koi during a call, such as a page you ask it to work on, goes to the AI to answer and is never kept on our server. What Koi produces for you is yours to use as well. How data is handled during a call is set out in the Privacy Policy.
Koi, and its limits
- It can be wrong. Koi is an AI. It can mishear, misread a screen or state something false with confidence. Check anything that matters before relying on it, and don't treat it as medical, legal or financial advice.
- It acts only on your say-so. Seeing your screen, editing your text, reading your apps and using your Mac are switches in Settings, under Talking with Koi. They start on, and you can turn any of them off. When you ask Koi to do something, it does it on your behalf and you are responsible for what you asked.
- Some things it refuses. The app is built to stop Koi from buying, paying, ordering, sending, posting, publishing, deleting, confirming, accepting terms, signing in, or typing a password or a card number. It takes you to the button and leaves the pressing to you. That is a safeguard, not a guarantee: stay at your Mac while Koi is using it.
- It needs permissions. macOS will ask for the microphone, for Accessibility, and for Screen Recording so Koi can see your screen. Calendars, Reminders and Automation are asked for only when something you ask Koi needs them. You can take any of them back in System Settings at any time.
Fair use
You agree not to:
- use Koi to break the law or to harm, harass or deceive anyone;
- record or transcribe people where that requires their consent and you lack it;
- attack, overload or probe our server, or get around its limits, sign-in or metering;
- share your account, resell access to Koi, or drive it with automated traffic;
- make extra accounts, or delete and remake one, to get Free's Koi again;
- use Koi to produce content that the AI providers behind it forbid in their own usage policies.
We may suspend or close an account that does any of this.
Price
Every account starts on Free: unlimited dictation, two recorded calls a month, and some time with Koi, once per person. Pro and Max are subscriptions with more Koi and more recorded calls, paid monthly or yearly; yearly costs 20% less. Lifetime is one payment: unlimited recorded calls for as long as we offer Koi, with about five hours of time with Koi included and no monthly Koi. Koi credit is bought in amounts of $10, $25 or $50. The prices are shown in the app before you pay, and Stripe takes the payment on its own page. Prices are in US dollars. Taxes are added where the law requires.
Pro and Max renew every month or every year, as you chose, until you cancel. You can cancel any time in the app, under Settings, Billing, or on Stripe's billing page, and it stops at the end of the period you paid for, when you go back to Free. The time with Koi and the recorded calls in a plan are a monthly allowance; on a yearly plan they reset every month of the year. Credit, Lifetime's included, never expires. Buying Lifetime while a subscription runs stops that subscription from renewing.
To buy, you must be 18 or older, or have a parent's permission.
Every plan works on any number of your Macs.
Refunds
Free is there to try everything before you pay, so purchases are not refunded, except when we fail to deliver what you paid for. The Refund Policy says what that means, how to ask, and what a refund or a reversed payment takes back.
If you live in the EU or UK: by buying, you ask us to start right away, and you accept that you lose the 14-day right to cancel once the service has started.
Availability and updates
We work to keep Koi running, but it depends on AI providers and networks we don't control, and it may be slow, limited or unavailable at times. We may change, add or remove features. The parts of Koi that run on your Mac keep working whether or not our server does.
No warranty
Koi is provided as it is and as available, without warranties of any kind, express or implied, including fitness for a particular purpose and accuracy of what is transcribed or answered, to the fullest extent the law allows.
Limit of liability
To the fullest extent the law allows, Spacerr LLC and the people who make Koi are not liable for indirect, incidental or consequential loss, or for lost data, profits or business, arising from your use of the app or of Koi. Our total liability for any claim is limited to what you paid us in the twelve months before it, or 50 US dollars if that is more. Nothing here limits liability that the law says cannot be limited, or the rights you have as a consumer where you live.
Ending this agreement
You can stop at any time: delete your account and uninstall the app, both in Settings, under Account. Deleting the account ends unused credit right away, and the unused part is not refunded. A subscription with paid days left stops renewing and keeps working until they are used, and the account is deleted then. We can end or suspend your access to Koi if you break these terms. The sections on ownership, warranty and liability outlive the agreement.
Governing law
These terms are governed by the laws of the State of Wyoming, United States. Any dispute goes to the state or federal courts in Wyoming. If you are a consumer, you keep the protections the law where you live gives you.
Changes to these terms
We may update these terms as the product changes. The date at the top changes with them, and for a change that matters we will tell you in the app or by email before it takes effect. Carrying on using Koi after that means you accept the new terms.
